Terms of Use

These Terms of Use ("Terms") govern your access to and use of loopmd.io and any LoopMD webpage, form, Fit Assessment, website chat, scheduling page, portal, content, or online feature that links to these Terms (collectively, the "Site"). The Site is operated by LoopMD ("LoopMD," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use interactive portions of the Site. If you use the Site on behalf of a medical spa, aesthetic practice, company, or other organization, you represent that you have authority to act for that organization and to provide information concerning it.

2. Business and informational purpose

The Site provides general information about LoopMD's business services, which may include growth strategy, patient-acquisition systems, automation, AI-supported communication, training, dashboards, implementation, and related services for medical spas and aesthetic practices. Website content is provided for general informational and business-evaluation purposes. It is not a binding offer, service commitment, legal opinion, compliance certification, investment recommendation, or guarantee.

A client relationship begins only when LoopMD and the client execute a separate written agreement. If these Terms conflict with a signed client agreement concerning paid services, the signed client agreement controls for that relationship.

3. No medical advice or patient services

LoopMD is not a medical provider and does not provide medical advice, diagnosis, treatment, clinical supervision, or emergency services through the Site. Nothing on the Site is intended to establish a provider-patient relationship; determine whether a person is a candidate for treatment; replace consultation with a licensed healthcare professional; or provide advice about symptoms, complications, medications, treatment, or emergencies.

Do not submit patient records, protected health information, clinical photographs, or identifiable patient details through public website forms or chat. If you are experiencing a medical emergency, call 911 or seek emergency care.

4. Fit Assessment and selective access

LoopMD may use a Fit Assessment and review process to determine whether a practice may be suitable for a Strategy Call or service offering. Submission of a Fit Assessment does not guarantee qualification, acceptance, availability, pricing, results, or a business relationship; does not obligate LoopMD to provide services; does not obligate you to purchase services; and may result in automated scoring, conditional routing, manual review, follow-up, or placement in future nurture. LoopMD may accept, decline, defer, or request additional information from an applicant in its reasonable business discretion, subject to applicable law.

5. AI-assisted features

The Site may include AI-assisted chat, automated qualification, scheduling support, and communication tools. Luna is LoopMD's B2B AI concierge. Luna may provide general information, assist with scheduling, and route questions to human representatives. You acknowledge that AI-generated content may be inaccurate, incomplete, delayed, or inappropriate for your circumstances; AI responses do not constitute medical, legal, financial, compliance, or professional advice; you are responsible for independently evaluating information before relying on it; conversations may be stored and reviewed for quality, security, and follow-up; and you must not submit protected health information, patient data, passwords, confidential clinical information, or other highly sensitive information. LoopMD may modify, restrict, suspend, or remove AI features at any time.

6. Communications and electronic consent

When you submit a form, request information, schedule a meeting, or create an account, you consent to receive electronic communications relating to your request, appointment, account, transaction, or service. Marketing email and text-message consent will be obtained and managed as required by applicable law. Consent to receive marketing text messages is not a condition of purchasing services. You agree that electronic records, disclosures, notices, and signatures may satisfy legal requirements that information be in writing, subject to applicable law and any separate agreement.

7. Accounts and portals

Certain features may require an account. You agree to provide accurate and current information; maintain the confidentiality of credentials; use multifactor authentication where required; restrict access to authorized users; notify LoopMD promptly of suspected unauthorized access; and accept responsibility for activity conducted through your account to the extent permitted by law. You may not share credentials with unauthorized people or use another person's account.

8. Limited license

Subject to these Terms, LoopMD grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for legitimate internal business-evaluation and authorized client purposes. No other rights are granted.

9. Intellectual property

The Site and its content, design, code, interfaces, text, graphics, logos, trademarks, videos, animations, dashboards, screenshots, workflows, prompts, training concepts, documents, methodologies, and other materials are owned by LoopMD or its licensors and are protected by intellectual-property laws. LoopMD, the LoopMD name, associated logos, and related brand elements are trademarks or trade dress of LoopMD. You may not use them without written permission.

Unless expressly authorized, you may not: copy, reproduce, publish, distribute, display, sell, license, or create derivative works from Site content; extract or reuse substantial portions of the Site; reverse engineer, decompile, or attempt to derive source code or proprietary logic; copy LoopMD workflows, prompts, methodologies, training materials, dashboards, or offer architecture for use outside an authorized relationship; use Site content to train, fine-tune, benchmark, or build an AI or machine-learning system; or remove copyright, trademark, confidentiality, or proprietary notices.

10. Acceptable use

You agree not to: violate any law, regulation, contractual duty, or third-party right; submit false, misleading, fraudulent, or unauthorized information; impersonate another person or misrepresent authority; upload malware, harmful code, or destructive content; probe, scan, test, circumvent, or interfere with Site security without written authorization; access data, accounts, systems, or features you are not authorized to access; scrape, crawl, index, harvest, or use automated means to extract Site content or personal information, except as permitted by standard search-engine protocols; send spam or use the Site to facilitate unlawful marketing; submit patient information or protected health information through public forms or chat; use the Site to provide medical advice or make clinical decisions; overload, disrupt, disable, or impair the Site; or assist another person in prohibited conduct.

11. Information you submit

You represent that information and content you submit is accurate to the best of your knowledge; does not violate law, confidentiality obligations, privacy rights, or intellectual-property rights; is submitted with any required permission or authority; and does not contain patient information or protected health information unless submitted through a specifically approved, contractually authorized, and appropriately configured channel. You retain ownership of content you submit. You grant LoopMD a non-exclusive license to host, process, reproduce, transmit, and use that content as reasonably necessary to operate the Site, respond to you, evaluate fit, provide requested services, secure systems, comply with law, and exercise contractual rights.

12. Feedback

If you provide suggestions, ideas, feature requests, or other feedback about the Site or LoopMD, you grant LoopMD a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided we do not publicly identify you without permission.

13. Confidential information warning

Public website communications are not intended for highly sensitive, proprietary, or confidential information. Do not submit trade secrets, patient information, credentials, or confidential materials unless LoopMD has specifically approved the method of transmission and an applicable agreement protects the information. A confidentiality obligation does not arise merely because you submit information through a public form, except as provided by the Privacy Policy or a signed agreement.

14. Third-party services and links

The Site may rely on or link to third-party services, including HighLevel/LeadConnector, Stripe, social-media platforms, analytics providers, video-meeting platforms, and other vendors. LoopMD does not control all third-party services and is not responsible for their availability, content, security, terms, privacy practices, or actions. Your use of a third-party service may be governed by its own terms. The identification of a third-party product or service does not necessarily constitute endorsement.

15. Service descriptions, availability, and changes

LoopMD may change Site content, qualification criteria, features, service descriptions, availability, or pricing information at any time. Service descriptions are summaries only. Scope, deliverables, fees, responsibilities, data terms, HIPAA terms, and other material provisions are determined by the applicable signed agreement. LoopMD may limit the number of practices accepted for implementation and may discontinue or modify an offering.

16. Results, testimonials, and case studies

Examples, interfaces, projections, metrics, testimonials, case studies, and founding campaign results are provided for informational purposes. Individual results vary. Revenue figures may represent collected revenue rather than net profit. Results depend on factors including market, offer, advertising budget, treatment economics, appointment capacity, pricing, staff execution, provider participation, training completion, follow-up, tracking accuracy, and other circumstances.

LoopMD does not guarantee a specific number of leads, purchases, appointments, treatments, members, or patients; revenue, profit, recurring revenue, return on advertising spend, valuation, or business growth; or that results experienced by PURE MedSpa or another practice will be replicated. Illustrative interfaces may use sample or simulated information. Verified campaign results should be clearly identified as such.

17. Payments through the Site

If the Site links to a deposit, invoice, or payment page, payment processing may be provided by Stripe or another third party. Payment through the Site is subject to the applicable proposal, service agreement, invoice, refund/cancellation terms, and payment-processor terms. These Website Terms do not replace the signed service agreement. You agree not to submit a payment method you are not authorized to use.

Our Privacy Policy explains how personal information is handled and is incorporated into these Terms by reference.

19. Copyright complaints

If you believe material on the Site infringes your copyright, send a notice to: LoopMD, Attn: Copyright Agent, 7861 Locust Wood Rd, Severn, MD 21144, Email: [email protected]. Include: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; a statement under penalty of perjury that the information is accurate and that you are authorized to act; and your physical or electronic signature. LoopMD may remove or restrict access to material in response to a valid notice.

20. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." LOOPMD DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RESULTS. LOOPMD DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION WILL BE COMPLETE OR CURRENT. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPMD AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON SITE CONTENT, AI OUTPUT, THIRD-PARTY SERVICES, OR UNAUTHORIZED ACCESS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPMD'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE PUBLIC SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID LOOPMD, IF ANY, SPECIFICALLY FOR ACCESS TO THE PUBLIC SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

This limitation does not alter liability terms in a separately signed client agreement and does not limit liability that cannot lawfully be limited.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless LoopMD and its owners, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from your unlawful or unauthorized use of the Site; information or content you submit; your violation of these Terms; your violation of another person's rights; or your submission of patient information, protected health information, or confidential information through an unauthorized public channel. LoopMD may control the defense of a covered claim, and you agree to reasonably cooperate. You may not settle a claim in a way that imposes obligations on LoopMD without written consent.

23. Suspension and termination

LoopMD may restrict, suspend, or terminate access to the Site or an account if we reasonably believe these Terms have been violated; access creates a security, legal, compliance, or operational risk; information is fraudulent or unauthorized; suspension is required by law or a service provider; or the Site or feature has been discontinued. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnification, governing law, and miscellaneous terms.

24. Export controls and sanctions

You may not use the Site in violation of U.S. export-control, trade-sanctions, or anti-boycott laws. You represent that you are not prohibited from receiving U.S. services under applicable sanctions or export restrictions.

25. Governing law and venue

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles. Unless a separately signed agreement provides otherwise, any dispute arising from the Site or these Terms will be brought exclusively in the state or federal courts located in or serving Anne Arundel County, Maryland, and you consent to personal jurisdiction and venue there. Nothing prevents either party from seeking appropriate injunctive or equitable relief concerning unauthorized access, security, confidentiality, or intellectual-property rights.

26. Changes to these Terms

We may update these Terms by posting a revised version and changing the "Last Updated" date. Material changes may be communicated through additional notice where appropriate. Your continued use after the effective date of revised Terms constitutes acceptance, except where additional consent is required by law.

27. Miscellaneous

These Terms and the Privacy Policy constitute the agreement concerning use of the public Site, except that a separately signed agreement controls the paid client relationship. If a provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective. LoopMD's failure to enforce a provision is not a waiver. You may not assign these Terms without LoopMD's written consent. LoopMD may assign them as part of a merger, reorganization, sale, or transfer of the Site or business. Headings are for convenience and do not affect interpretation.
